1. Acceptance of Terms

By accessing or using Arachnibull’s website, tools, analytics, artificial-intelligence features, digital credits, or subscription services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use or access the Service.

These Terms form a binding agreement between you and Arachnibull LLC.

2. Eligibility

You must be at least 18 years of age and legally able to enter into binding contracts to use this Service. By using the Service, you represent that you meet these requirements.

3. Description of Service

Arachnibull provides:

• Educational materials related to financial markets, options trading, and leveraged ETFs.
• Analytical tools to model potential option values based on predicted prices.
• Access to trade examples and strategies performed by Arachnibull’s team.
• Artificial-intelligence-assisted tools, including Model Builder features that can analyze user prompts, files, and Profit Tree configurations and may suggest or prepare changes for user review.
• Arachnibull Credits that may be used to access eligible AI-powered functionality within the Service.

We do not:

• Provide personalized investment advice.
• Execute or manage trades on behalf of users.
• Guarantee accuracy, future performance, profit, or that AI-generated content will be complete or error-free.

All information provided is for educational and informational purposes only.

4. Subscription, Payments, Credits, and Renewal

4.1 Subscription Terms

Arachnibull currently offers a monthly subscription.

The subscription auto-renews each month unless canceled prior to the renewal date.

You can cancel anytime via your account settings or by contacting support at [email protected].

Refunds are not automatic and are considered case-by-case via a support request.

4.2 Pricing Changes

Arachnibull reserves the right to adjust subscription prices, credit pricing, included usage allowances, AI model availability, and other paid features. Subscription price changes will be communicated in advance when required by law. Changes to optional credit purchases or usage rates may apply prospectively to future purchases or future use.

4.3 Arachnibull Credits

Arachnibull Credits (“Credits”) are digital usage units that may be used only for eligible features within the Service. Credits are not legal tender, a bank deposit, a stored cash balance, an investment, or a security. Credits are non-transferable and are not redeemable for cash except where required by applicable law.

The purchase price of Credits and the amount of Credits provided are determined by Arachnibull’s current credit pricing.

Purchased Credits are separate from any included or promotional weekly AI allowance. Included or promotional credits or allowances may reset, expire, or be modified according to the applicable plan or promotion. Purchased Credits currently do not expire while the account remains active, except where otherwise disclosed or required by law.

Credit usage may vary based on factors such as the AI model selected, reasoning level, prompt size, response size, attached content, tool usage, token usage, provider pricing, and other computational costs. Arachnibull may update usage rates prospectively.

Payment processing for Credit purchases may be provided by third-party processors such as Stripe. Arachnibull does not store full payment-card details.

5. Refunds

Payments, including subscription payments and purchases of Arachnibull Credits, are non-refundable except where required by law or where Arachnibull grants a refund at its sole discretion after a written support request.

If Arachnibull refunds a Credit purchase, we may remove the corresponding unused Credits from your account. Used Credits are generally not refundable. Partial subscription periods, consumed AI usage, and promotional or included credits are not eligible for cash refunds except where required by law.

6. Artificial Intelligence Features

The Service may use third-party artificial-intelligence models and related providers to process prompts, files, Profit Tree data, and other content necessary to provide AI-powered functionality.

AI-generated content may be inaccurate, incomplete, outdated, or unsuitable for your intended purpose. AI responses may also vary between requests, models, or reasoning settings. You are responsible for reviewing and validating AI-generated output before relying on it, applying changes, executing code, or making financial or other decisions.

Arachnibull may add, remove, replace, or modify available AI models, model names, reasoning levels, usage limits, and related functionality at any time.

You must not submit content to AI features that you do not have the right to use or disclose. You should avoid providing sensitive personal information, passwords, authentication secrets, private keys, or other confidential information unless it is necessary and appropriate for the feature being used.

7. Intellectual Property

All content, software, logos, text, images, videos, analytics, and other materials on the Service are the property of Arachnibull LLC or its licensors. You may not copy, distribute, modify, reverse engineer, or commercially exploit any part of the Service without written permission.

You retain ownership of content you submit to the Service, subject to the rights necessary for Arachnibull and its service providers to process that content to operate, secure, maintain, and improve the Service.

8. User Conduct

You agree not to:

• Resell, redistribute, or publicly share content from Arachnibull except where expressly permitted.
• Resell, transfer, exchange, or attempt to cash out Arachnibull Credits.
• Misrepresent affiliation with Arachnibull.
• Use the platform for illegal, fraudulent, abusive, or manipulative purposes.
• Attempt to hack, scrape, overload, interfere with, or bypass rate limits, access controls, credit controls, or security measures.
• Use AI features to infringe the rights of others or submit content you are not authorized to provide.

Violation of these rules may result in suspension or permanent termination of access.

9. Financial Disclaimer

All information provided by Arachnibull, including AI-generated content, is for educational and informational purposes only and should not be construed as financial, investment, tax, or legal advice.

Trading leveraged ETFs and options involves significant risk, including the loss of all invested capital. Arachnibull’s content and AI-generated outputs are not guarantees of future results.

You are solely responsible for your investment decisions and for independently reviewing any data, model output, formula, strategy, or generated Profit Tree before using it.

Arachnibull LLC, its owners, employees, and affiliates assume no liability for losses or damages resulting from your use of the Service or reliance on its content, subject to applicable law.

10. Service Availability

Arachnibull does not guarantee uninterrupted availability of the Service, AI providers, market-data providers, payment processors, or other third-party systems. Features may be delayed, unavailable, rate-limited, or changed due to maintenance, provider outages, capacity, security, legal requirements, or other operational reasons.

11. Limitation of Liability

To the fullest extent permitted by law, Arachnibull LLC and its affiliates shall not be liable for:

• Any indirect, incidental, consequential, or punitive damages;
• Any loss of data, profits, business opportunity, trading losses, or losses arising from AI-generated content; or
• Any claims exceeding the amount you paid to Arachnibull in the past 12 months.

12. Indemnification

You agree to indemnify and hold harmless Arachnibull LLC, its members, employees, and agents from any claims, damages, or expenses arising out of your use of the Service, your submitted content, or your violation of these Terms.

13. Arbitration and Class Action Waiver

13.1 Arbitration Agreement

Any dispute arising out of or related to these Terms or your use of the Service shall be resolved by binding arbitration conducted in Hennepin County, Minnesota, under the rules of the American Arbitration Association (AAA).

13.2 Class Action Waiver

You agree that disputes shall be resolved only on an individual basis, and you waive any right to participate in a class action or class-wide arbitration.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict of law principles.

15. Privacy Policy

Your use of the Service is also subject to our Privacy Policy. The Privacy Policy explains how we collect, use, process, share, and protect information, including information submitted to AI-powered features.

16. Termination

We may suspend or terminate your access to the Service for conduct that we reasonably believe violates these Terms, threatens the security or operation of the Service, involves fraud or abuse, or is harmful to other users or Arachnibull LLC.

Upon termination, your right to use the Service ends. Treatment of any remaining purchased Credits will be subject to applicable law and these Terms. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law, will remain in effect.

17. Modifications to Terms

Arachnibull may modify these Terms at any time. Updates will be posted on the website with a revised Effective Date. Continued use of the Service after updates constitutes acceptance of the revised Terms.
